The Impact of a Contract Manager to Coupa:
The Contracts Specialist/Manager will be a part of the North American commercial legal team (under the broader global Coupa Legal team), and will report to the lead Contract Manager. The successful applicant can primarily work remotely from their home office in the United States, and will have a breadth of responsibility as detailed below.
What You'll Do:
Playing a lead role in the preparation, review, and/or negotiation of a variety of commercial documents, contracts, and agreements, including without limitation: Master Subscription Agreements, privacy exhibits, existing customer contract amendments, professional services supplements, Non-Disclosure Agreements, and product specific schedules referenced in an Order FormSupporting the Deal Desk team and others with legal or quasi-legal escalations regarding Order Forms and/or product specific schedulesSupporting the SOW Desk team and others with legal or quasi-legal escalations regarding Statements of WorkSupporting corporate objectives around the conversion of legacy and old MSAs to the current Coupa MSAPlaying an active role in the daily monitoring and triaging of Service Desk ticketsInterfacing with customers and internal stakeholders to negotiate and develop contractual documents on an “as needed” basis, including, by way of example, divesture letter agreements, collection letter templates and various other documentsIndependently evaluating contractual risk and standards and escalating potential exposures or contractual points to the supporting manager or other appropriate internal stakeholdersCollaborating with legal and other internal stakeholders to develop contract management benchmarks, guidelines, and playbooks to strive for excellence and efficiencyResolving customer success issues through interaction with a customer’s representatives and internal teamsSupporting the global legal team as needed on additional miscellaneous itemsWhat You Will Bring to Coupa:
Bachelor’s Degree (or equivalent) in a relevant area of study and at least three years’ experience as an attorney, contract manager/administrator/specialist, or paralegal. Prior experience must be in an area of commercial and/or software contract transactionsExcellent organizational skills and the ability to multi-taskPrior experience in interfacing with legal clients and/or commercial customers and internal executives/leaders. Excellent interpersonal skills are a mustSelf-starter with a desire to learn and a bias for action to work independently in a high-volume and fast paced environment.A commitment to excellence and to ensuring the success of Coupa’s customersA desire to build relationships within the Legal Department and across other Coupa departmentsIntegrity, a commitment to confidentiality, and the ability to handle privileged, secret, and sensitive information and documentation in an appropriate and professional mannerPrior experience with Software-as-a-Service contracts, data privacy and/or SaaS security matters is preferredPrior experience or willingness to pitch in where and as needed, including on global contract negotiations and issues in multiple global jurisdictions (including U.S., CALA, EMEA, and APAC)Willingness to work off hours as needed to support deals and internal clientsTravel: approximately 5%At Coupa, we celebrate diversity and recognize its value to our customers and employees.
