We are hiring a Senior Corporate Counsel 2 who will report to Snowflake’s Senior Director, Associate General Counsel – Technology Transactions and Alliances. This role will be involved in negotiating a range of technology and alliance agreements and in all legal aspects of Snowflake’s relationship with its three public cloud service providers (AWS, Azure, and GCP). The ideal candidate will have good judgment, the ability to appropriately weigh risk, an eye for detail, and the ability to understand and clearly explain complicated, sensitive, and nuanced issues. Most importantly, we are looking for someone who is eager to jump in, figure it out, and help Snowflake grow. ​​This role is an in-person role and is based in Dublin, CA.

RESPONSIBILITIES :

  • Negotiate and draft technology transactions, and alliance agreements (“Technology Agreements”), including (i) alliance agreements with third-party partners, (ii) strategic transactions with operating partners or other third parties in jurisdictions requiring unique go-to-market business models (e.g., China, Saudi Arabia, etc.), (iii) cloud infrastructure agreements (e.g., agreements with AWS, Azure, GCP, etc.), and (iv) partnership agreements.
  • Collaborate with cross-functional teams, including legal, biz dev, finance, tax, product, engineering, security, and compliance, to create scalable processes to ensure that Snowflake’s on-going operations comply with the terms negotiated in such Technology Agreements. 
  • Conduct comprehensive legal and regulatory due diligence in foreign jurisdictions where Snowflake plans to enter into Technology Agreements. 
  • Provide sound, practical advice and guidance on legal and business-related issues to senior business leaders.

REQUIREMENTS :

  • JD from an accredited law school, membership in at least one state bar, and ability to practice in California
  • At least 8 years of relevant experience preferred
  • Enjoys understanding new technologies with ability to quickly learn them
  • Self-motivated team player
  • Ability to explain complicated concepts in simple terms
  • Attitude that no project is too big or too small
  • Excellent organizational and project management skills 
  • Comfort working in an extremely fast-paced environment
